1. Introduction
Welcome to Skyli Holdings LLC dba Garage Gear Direct ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of our website located at www.GarageGearDirect.com ("Website") and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.
2. Eligibility
By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms.
3. Accounts and Registration
3.1 Account Creation
To access certain features of the Services, you may be required to create an account. You agree to provide true, accurate, current, and complete information during registration and maintain and promptly update your account information to keep it accurate and current.
3.2 Account Responsibilities
You are responsible for maintaining the confidentiality of your account login credentials, all activities that occur under your account, and notifying us immediately of any unauthorized use of your account.
4. Orders and Payment
4.1 Product Availability
All products listed on the Website are subject to availability. We reserve the right to limit the quantities of any products or services that we offer.
4.2 Pricing
Prices for our products are subject to change without notice. We are not liable for any price changes, modifications, or discontinuance of products.
4.3 Payment Terms
• Accepted Payment Methods: Visa, MasterCard, Discover, Diners Club, AMEX, PayPal, Apple Pay
• Payment Processing: Shopify
• You agree to provide current, complete, and accurate billing information.
• All standard orders must be paid in full at checkout before shipment.
• Freight orders: An estimated freight deposit is collected at checkout. If actual freight costs exceed the deposit, a balance invoice will be issued separately. All freight balance invoices must be paid in full prior to shipment. The freight balance invoice constitutes a separate payment transaction and requires separate authorization. By placing an order for a freight-eligible product, you authorize Garage Gear Direct to issue a balance invoice and agree to pay any outstanding freight balance before your order ships.
• Orders will not ship until all outstanding balances — including freight balance invoices — have been paid in full.
4.4 Order Acceptance
We reserve the right to refuse or cancel any order for reasons including but not limited to product or service availability, errors in the description or price of the product, or suspected fraudulent or unauthorized transactions.
5. Shipping and Delivery
Please refer to our Shipping Policy at www.GarageGearDirect.com/pages/shipping-policy for complete information on shipping rates, carriers, delivery times, and supplier-specific terms.
5.1 Freight Shipments
Orders containing products that ship via freight carrier are subject to the following additional terms:
• An estimated freight deposit is collected at checkout. This is not the final shipping charge.
• Final freight cost is calculated after order placement based on delivery location, shipment dimensions, and freight class.
• A balance invoice will be sent within 1 business day of order placement.
• All freight balances must be paid in full before your order ships.
• Signature is required upon delivery for all freight shipments.
• You or your representative must inspect all freight shipments BEFORE signing the delivery receipt. Note any damage on the freight bill before the carrier departs. Failure to note damage at time of delivery may void your damage claim.
5.2 Freight Cancellations
Freight orders may be cancelled within 24 hours of order placement. Orders cannot be cancelled once freight has been scheduled or shipment tendered to carrier. Cancellations are subject to Section 6 of these Terms.
5.3 Delivery Requirements — KATOOL Equipment
Certain heavy automotive equipment sold by KATOOL requires a forklift or loading dock at the delivery location. This requirement is clearly noted on applicable product pages. The freight carrier will not unload shipments without appropriate equipment on-site. Failure to have required equipment available at delivery may result in redelivery fees charged to the customer. By purchasing a forklift-required product, you acknowledge and accept this delivery requirement.
5.4 Risk of Loss
All purchases are made pursuant to a shipment contract. Risk of loss and title for items pass to you upon our delivery to the carrier. Skyli Holdings LLC dba Garage Gear Direct is not responsible for packages lost, stolen, or damaged during transit once tendered to the carrier.
6. Cancellations, Restocking, and Returns
6.1 Standard Order Cancellations
Standard orders may be cancelled within 24 hours of placement at no charge. Orders that have entered fulfillment or been submitted to a supplier for processing cannot be cancelled.
6.2 Freight Order Cancellations
Freight orders may be cancelled within 24 hours of order placement. Orders cannot be cancelled once freight has been scheduled or shipment tendered to carrier. See Section 5.2 for details.
6.3 Returns and Restocking
All cancellations and returns after the order has shipped will be inspected and subject to a 25% restocking fee and return shipping costs. Return authorization may be required depending on the supplier. See our Returns, Refunds, and Warranty Policy for complete details.
7. Intellectual Property Rights
7.1 Ownership
All content on the Website, including text, graphics, logos, images, and software, is the property of Skyli Holdings LLC dba Garage Gear Direct or its content suppliers and is protected by intellectual property laws.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.
7.3 Restrictions
You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission, or use any meta tags or other hidden text using our name or trademarks without our express written consent.
8. User Content
8.1 Submissions
If you submit or post any content to the Services, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and display such content.
8.2 Prohibited Content
You agree not to submit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy, or that infringes on any intellectual property or other proprietary rights of any party.
9. Prohibited Activities
You agree not to engage in any of the following:
• Violating Laws and Rights: Use the Services for any illegal purpose or in violation of any local, state, national, or international law.
• Disruption: Interfere with or disrupt the Services or servers or networks connected to the Services.
• Unauthorized Access: Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services.
• Fraudulent Orders: Place orders with no intention of payment, use fraudulent payment methods, or submit false shipping information.
10. Disclaimers and Warranties
10.1 "AS IS" Basis
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the Services.
10.2 No Warranty
We do not warrant that the Services will meet your specific requirements, will be uninterrupted, timely, secure, or error-free, or that the results obtained from use of the Services will be accurate or reliable.
11. Limitation of Liability
In no event shall Garage Gear Direct, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Services, any unauthorized access to or use of our servers and/or any personal information stored therein, or any interruption or cessation of transmission to or from the Services.
12. Indemnification
You agree to indemnify, defend, and hold harmless Skyli Holdings LLC dba Garage Gear Direct and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of and access to the Services, your violation of any term of these Terms, or your violation of any third-party right, including intellectual property or privacy rights.
13. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of Colorado, USA, without regard to its conflict of law provisions.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal dispute, you agree to contact us at Info@GarageGearDirect.com and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within 30 days of receipt.
15.2 Binding Arbitration
If the dispute cannot be resolved informally, you and Garage Gear Direct agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through binding arbitration under the rules of the American Arbitration Association (AAA), except as set forth in Section 15.4.
15.3 Arbitration Terms
• Arbitration will be conducted in Larimer County, Colorado, or by telephone or video conference at either party's request.
• The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
• Each party will bear its own costs and fees unless the arbitrator determines that the claim was frivolous or brought in bad faith.
15.4 Exceptions
Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims for amounts under $5,000 may be brought in small claims court in Larimer County, Colorado.
15.5 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
15.6 Chargeback Policy
Prior to initiating a chargeback with your payment provider, you agree to contact us at Info@GarageGearDirect.com to attempt resolution. Initiating a chargeback without first contacting us in good faith may be considered a breach of these Terms. We reserve the right to dispute any chargeback that we believe to be fraudulent or filed in bad faith, and to pursue recovery of any associated fees, costs, and damages.
16. Changes to Terms
We reserve the right to modify or replace these Terms at any time. Changes will be effective immediately upon posting to the Website. It is your responsibility to review these Terms periodically. Continued use of the Services following posting of changes constitutes your acceptance of the revised Terms.
17. Miscellaneous
17.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in effect.
17.2 Entire Agreement
These Terms, together with our Shipping Policy, Returns and Refunds Policy, and Privacy Policy, constitute the entire agreement between us regarding our Services and supersede any prior agreements.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
